Terms of Service for Northern Pulse Sound Studio

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, booking systems, communications, and related offerings provided by Northern Pulse Sound Studio (“Northern Pulse Sound Studio,” “we,” “us,” or “our”).
By booking a session, entering our premises, using our services, or otherwise engaging with Northern Pulse Sound Studio, you agree to be bound by these Terms. If you do not agree, you must not use our services.
These Terms apply to all clients, artists, producers, engineers, podcasters, voice talent, and other users of our services.
2. Scope of Services
Northern Pulse Sound Studio provides professional audio production services, which may include, without limitation:
- Music recording and tracking
- Mixing and mastering
- Podcast recording and editing
- Voiceover recording
- Audio restoration and cleanup
- Related studio support services as agreed in writing
Service descriptions, timelines, deliverables, and technical specifications may vary depending on the project, session length, staffing, equipment availability, and client requirements. Any estimates provided are non-binding unless expressly stated otherwise in a written agreement signed or confirmed by Northern Pulse Sound Studio.
We reserve the right to refuse, suspend, or discontinue services where necessary for safety, legal compliance, operational reasons, or breach of these Terms.
3. User Obligations and Responsibilities
By using our services, you agree that you will:
- Provide accurate, current, and complete information when booking or communicating with us;
- Arrive on time and be prepared for scheduled sessions;
- Follow all studio rules, safety instructions, and staff directions;
- Ensure that any content, performances, recordings, or materials you provide do not infringe the rights of any third party;
- Obtain all necessary permissions, licenses, releases, and consents for any copyrighted material, samples, performances, likenesses, or other protected content used in your project;
- Not bring prohibited items, illegal substances, weapons, or hazardous materials onto the premises;
- Not engage in disruptive, abusive, discriminatory, harassing, or unsafe conduct;
- Be responsible for the conduct of your guests, collaborators, and representatives;
- Promptly notify us of any equipment issues, safety concerns, or incidents occurring during a session.
You are solely responsible for the legality, accuracy, and appropriateness of all materials you submit, record, or request us to process.
4. Payment Terms and Conditions
Fees for services will be communicated in advance through a quote, booking confirmation, invoice, rate card, or written agreement. Unless otherwise stated, all prices are in Canadian dollars (CAD).
- Payment may be required in advance, at the time of service, or upon invoice, depending on the project and booking terms.
- Deposits, retainers, and minimum session charges may apply and are non-refundable except where required by law or expressly stated otherwise in writing.
- Additional charges may apply for overtime, rush delivery, extra revisions, file transfers, storage, special equipment, or third-party services.
- Invoices are due on the date specified on the invoice or booking confirmation. Late payments may result in suspension of services and may be subject to interest or administrative fees to the extent permitted by law.
- You are responsible for all applicable taxes, including GST/HST/PST, where applicable.
If a payment is reversed, disputed, or declined, we may withhold deliverables, suspend access to files, or cancel services until the outstanding amount is paid in full.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in accordance with the booking terms provided at the time of reservation. Unless otherwise agreed in writing:
- Deposits and retainers are generally non-refundable.
- Cancellation fees may apply if a session is cancelled within a specified notice period.
- Missed appointments, no-shows, or late arrivals may be charged in full or partially at our discretion, subject to applicable law and the booking terms.
- If you arrive late, your session may still end at the originally scheduled time and may be billed in full.
- Refunds, if any, are issued only where required by law or expressly approved by Northern Pulse Sound Studio in writing.
We may cancel or reschedule a session due to equipment failure, staff availability, safety concerns, force majeure events, or other circumstances beyond our reasonable control. In such cases, our liability is limited to rescheduling the session or refunding amounts paid for the affected portion of the service, at our discretion and as required by law.
6. Liability Limitations
To the fullest extent permitted by applicable Canadian law, Northern Pulse Sound Studio shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business, loss of data, loss of goodwill, or reputational harm, arising out of or related to your use of our services.
Without limiting the foregoing, Northern Pulse Sound Studio is not responsible for:
- Pre-existing defects or issues in source recordings or materials;
- Technical limitations inherent in audio production, recording environments, or third-party platforms;
- Delays caused by client unavailability, incomplete instructions, or late delivery of materials;
- Loss or corruption of files due to third-party systems, internet failures, storage failures, or events outside our reasonable control;
- Claims arising from unauthorized use of copyrighted, trademarked, or otherwise protected content supplied by you;
- Personal injury or property damage caused by your negligence, misconduct, or failure to follow instructions.
Our total aggregate liability for any claim arising from or relating to the services shall not exceed the amount paid by you to Northern Pulse Sound Studio for the specific service giving rise to the claim, except where such limitation is prohibited by law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property, including studio methods, templates, workflows, software configurations, equipment know-how, and proprietary materials used by Northern Pulse Sound Studio, remain our property or the property of our licensors.
Subject to full payment of all applicable fees, you may receive the deliverables expressly agreed in your project scope. However, ownership and usage rights in recordings, mixes, masters, edits, or other deliverables may be governed by a separate written agreement, release, or assignment. In the absence of such agreement:
- You are granted a limited, non-exclusive, non-transferable license to use the deliverables for the purpose for which they were commissioned;
- Northern Pulse Sound Studio retains the right to use general know-how, techniques, and non-confidential project learnings;
- We may retain copies of project files for archival, backup, quality control, and legal compliance purposes, subject to our retention practices and applicable law.
You represent and warrant that you have all necessary rights, permissions, and consents for any content you provide. You agree to indemnify and hold harmless Northern Pulse Sound Studio from claims arising from your breach of intellectual property rights or misuse of third-party materials.
Unless you notify us otherwise in writing, you consent to Northern Pulse Sound Studio identifying you or your project in a portfolio, client list, or promotional context only where permitted by law and consistent with any separate confidentiality agreement.
8. Data Protection and Privacy
Northern Pulse Sound Studio collects, uses, stores, and discloses personal information in connection with bookings, communications, payments, service delivery, and operational administration. We handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial privacy legislation.
We may collect information such as:
- Contact details and booking information;
- Payment and invoicing information;
- Session notes, project files, and communications;
- Technical data related to file transfers, website use, or service access.
We use personal information to provide services, manage accounts, process payments, communicate with you, improve operations, prevent fraud, and comply with legal obligations.
We take reasonable administrative, technical, and physical safeguards to protect personal information. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
Where we engage third-party service providers for payment processing, cloud storage, communications, or other business functions, your information may be processed by those providers subject to their own terms and privacy practices.
By using our services, you consent to the collection, use, and disclosure of your personal information as described in these Terms and any applicable privacy notice, subject to your rights under applicable law.
9. Force Majeure
Northern Pulse Sound Studio shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to acts of God, fire, flood, earthquake, severe weather, power outages, internet outages, labour disputes, government actions, public health emergencies, civil unrest, war, terrorism, equipment shortages, or failures of third-party providers.
In such circumstances, we may suspend, postpone, or cancel affected services and will make reasonable efforts to notify you and reschedule where feasible.
10. Changes to Terms
We may update or modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. The revised Terms will be posted or otherwise communicated to you with a new effective date.
Your continued use of Northern Pulse Sound Studio’s services after the effective date of any revised Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the services, or your use of Northern Pulse Sound Studio shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory consumer protection laws or other non-waivable legal rights, you agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable, it shall be interpreted and enforced to the maximum extent permitted by law in a manner that most closely reflects the original intent of the parties.
By using the services of Northern Pulse Sound Studio, you acknowledge that you have read, understood, and agreed to these Terms of Service.
